1.1 These terms of use ("Terms of Use") exclusively govern the access to and use of ReachCentrum's ChemDataSharing and Letter of Access platform ("Platform") by the registered customer ("Customer"). Only legal persons (and not natural persons) can register and qualify as Customers. These Terms of Use shall supersede any other provisions, terms and conditions set forth by the Customer, and the rights of ReachCentrum SA ("ReachCentrum") and the Customer shall therefore be governed exclusively by the provisions, terms and conditions set forth herein.
1.2 In addition to these Terms of Use, the Customer also accepts to comply with the terms and conditions of ReachCentrum' selected host provider which can be found here.
1.3 Notwithstanding these Terms of Use, any purchase of information or product made by the Customer via the Platform shall be exclusively governed by a separate data license agreement ("Data License Agreement") relating to that product or information.
2.1 Subject to these Terms of Use, ReachCentrum grants the Customer a non-exclusive and non-transferable right to access and use the Platform. The Customer may not share its right to access and use the Platform with non-registered customers/users and will not make available, directly or indirectly, by any technical means, the Platform accessible to non-registered customers/users.
2.2 In order to access and use the platform, the Customer must:
(i) register and identify itself to ReachCentrum. This will result in a user account of which login credentials are strictly personal to each Customer and cannot be shared with other persons. In the event login credentials are used by another person than the Customer, ReachCentrum shall treat that person as if it were the Customer ;
and
(ii) expressly agree with these Terms of Use.
3.1 The Customer agrees to access and use the Platform in a reasonable manner, in accordance with good practices and only for the purpose of browsing and purchasing information relevant for compliance with the legal requirements established under national and international legislations on chemicals.
3.2 Unless expressly permitted under the Data License Agreement, the Customer shall not:
(i) modify, decompile or reverse assemble the Platform or any information displayed/available on and/or obtained via the Platform ("Information") except to the extent this is expressly allowed by law;
(ii) sublicense, rent, lease or export the Platform and/or Information;
(iii) copy, reproduce, transmit or distribute the Platform and/or Information, or facilitate a third party to do so;
(iv) use any device or software to interfere with the proper operation of the Platform;
(v) disturb the functioning and security of the Platform and/or content of the Information, for instance by using viruses or other harmful files or data or by seeking to or gaining access to files or data to which the Customer has not been granted access;
(vi) add, change, replace or correct (even partially) the Information; and
(vii) make use of the Platform and/or Information for illegal or harmful purposes.
3.3 Without prejudice to the Customer's liability under applicable laws, the Customer is liable towards ReachCentrum for any breach (whether committed by the Customer itself or via its individual users) of the Terms of Use when accessing and using the Platform .
3.4 The Customer will defend, indemnify and hold ReachCentrum and ReachCentrum's officers, directors, employees, consultants, agents, and suppliers harmless against any loss, damage or costs (including attorneys' fees) incurred in connection with any suit, action or claims made or brought against ReachCentrum by a third party (including ReachCentrum' selected host provider) arising out of or related to the Customer's access to and use (including via its individual users) of the Platform and/or Information in violation of these Terms of Use and/or the terms and conditions of ReachCentrum' selected host provider..
4.1 ReachCentrum warrants that it is the lawful owner of the Platform , or to the extent it is not the lawful owner, that it has all rights necessary for it to grant access to and use the Platform.
4.2 To the greatest extent permitted by applicable law and without prejudice to the Data License Agreement, access to and use of the Platform and/or Information are granted "as-is":
(i) ReachCentrum gives no warranties and makes no representations whatsoever (whether written, oral, express and/or implied) regarding the Platform and/or Information's merchantability, quality, fitness for a particular purpose and/or non-infringement;
(ii) ReachCentrum does not warrant that the Platform and/or Information will be accurate, complete or without error;
(iii) Access to and use of the Platform and/or Information are entirely at the Customer's risk and ReachCentrum makes no warranties as to their accuracy, quality or reliability. ReachCentrum reserves the right to change, correct and/or modify the Platform and/or Information at any time without prior notice;
(iv) ReachCentrum does not warrant that the access to and use of the Platform and/or Information will be un-interrupted or error free; and
(v) ReachCentrum does not warrant that the data provided by the Customer when registering on and using the Platform will be secure or will not be lost, damaged or corrupted. In the event of any loss or damage to the Customer's data, the Customer's sole and exclusive remedy shall be for ReachCentrum to use commercially reasonable efforts to restore the lost or damaged data.
4.3 The Platform and/or Information may contain links or references to third parties' websites. ReachCentrum has no obligation or responsibility with respect to the use of such links, references, websites and/or information obtained by using them.
5.1 Without prejudice to the Data License Agreement, all Information shall be considered and treated as confidential ("Confidential Information"). The Customer agrees to keep confidential the Confidential Information and to protect the confidentiality thereof in the same manner as it would protect the confidentiality of its own confidential information. The Customer shall exercise at least a reasonable degree of care in the protection of Confidential Information.
5.2 Information shall cease to qualify as Confidential Information if (i) publicly available without breach of these Terms of Use, (ii) rightfully obtained by the Customer from another source without a duty of confidentiality, (iii) independently developed by the Customer, (iv) already in the Customer's possession without a duty of confidentiality, or (v) required to be disclosed under applicable law provided the Customer has been given ReachCentrum reasonable advance notice to object to such disclosure.
6.1 Subject to the limited rights expressly granted herein and/or in the Data License Agreement, all right, title and interest in and to the Platform and/or Information, including all rights in and to patents, copyrights, trademarks, and all other intellectual property rights in the Platform and/or Information will remain with ReachCentrum (and/or ReachCentrum selected host provider).
6.2 The Customer acknowledges and agrees that ReachCentrum (and/or its suppliers/partners) will own all right, title and interest in and to any suggestions, recommendations or feedback ("Feedback") provided by Customer to incorporate into or improve the Platform and/or Information. ReachCentrum will be entitled to use the Feedback without restriction or compensation to the Customer. The Customer hereby irrevocably assigns to ReachCentrum all right, title, and interest in and to the Feedback.
6.3 Customer will not (i) modify, copy or create derivative works based on the Platform and/or Information; (ii) reverse engineer the Platform (software) and/or Information; or (iii) remove, deface, cover, alter or obscure any copyright or trademark notices and/or legends or other proprietary notices associated with the Platform and/or Information.
The Customer ensures that (i) its individual users' personal data (contact details) provided to ReachCentrum when registering and opening an account ("Personal Data") have been collected and transferred to ReachCentrum in accordance with the applicable data protection rules and (ii) the concerned individual users has been properly informed in accordance with the same applicable data protection rules.
ReachCentrum withholds the right to, immediately and without further notice, de-activate the Customer's account in the event the Customer is in breach of these Terms of Use or for any other legitimate and motivated reason.
To the largest extent authorized by applicable law, Customer shall use the Platform at its own risk and ReachCentrum will under no circumstances be held liable for any form of damages whether direct or indirect (such as but no limited to loss of profits, loss of revenues, loss of chance, loss of data, loss of clientele, etc.) originating from the access to and use of the Platform and/or Information.
10.1 These Terms of Use constitute the entire understanding and agreement between the Customer and ReachCentrum regarding the access to and use of the Platfom and supersede all prior negotiations and dealings between Customer and ReachCentrum.
10.2 These Terms of Use can be modified by ReachCentrum at any time subject to a one (1) month notice period. In the event it does not agree with the amended version of the Terms of Use, the Customer will lose its right to access and use the Platform upon expiration of the aforementioned notice period.
10.3 If at any time any provision of the Terms of Use is or becomes illegal, invalid or unenforceable in any respect under any law of any jurisdiction, neither the legality, validity or enforceability of the remaining provisions of these Terms of Use nor the legality, validity or enforceability of such provision under the laws of any other jurisdiction will in any way be affected or impaired.
10.4 ReachCentrum shall not be deemed to have waived any rights or remedies arising out of these Terms of Use or out of any default or breach hereunder unless ReachCentrum executes the waiver in writing. If ReachCentrum waives a right or remedy arising out of these Terms of Use or out of any default or breach hereunder, such waiver shall not be construed to constitute a waiver of any other rights or remedies.
10.5 The Terms of Use shall be governed by and construed in accordance with Belgian law and shall be subject to the exclusive jurisdiction of the Brussels' courts (Belgium).
10.6 The Customer may not assign or transfer its rights under these Terms of Use without ReachCentrum's prior written consent. ReachCentrum may assign or transfer any of its rights or obligations under these Terms of Use upon notice in connection with a merger, reorganization, transfer, sale of assets or product lines, demerger or spin-off transaction or change of control or ownership of ReachCentrum, or its permitted successive assignees or transferees.
10.7 ReachCentrum and the Customer are independent contractors, and neither party, nor any of their respective affiliates, is an agent of the other for any purpose or has the authority to bind the other.
